Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Board Room platform at brdrm.ai (the "Service"), operated by Board Room ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.
1. Eligibility
You must be at least 16 years old to use the Service. By creating an account, you represent that you meet this requirement and that the information you provide is accurate and complete.
2. Account Responsibilities
- You are responsible for maintaining the security of your account credentials.
- You must not share your account with others or allow unauthorized access.
- You agree to notify us immediately if you suspect unauthorized use of your account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
3. Subscription & Payments
- Free tier: Access to the first 5 training modules and 3 company research reports at no charge, with no time limit.
- Premium tier: Access to all 54 modules, up to 10 company practice or prep reports per month, unlimited non-company practice drills, AI coaching, and additional features. Billed monthly or annually through Stripe.
- Auto-renewal: Paid subscriptions renew automatically at the end of each billing period. You can cancel at any time from your account settings or by contacting us.
- Price changes: We may adjust pricing with at least 30 days' notice before your next billing cycle. Continued use after a price change constitutes acceptance.
4. Refund Policy
We offer a 14-day money-back guarantee on course purchases only. If you are not satisfied with the course within the first 14 days of your subscription, contact us at BRDRM@ChrisSchaum.com for a refund of the course purchase. One-on-one coaching, Titan coaching, and team sessions are non-refundable.
Cancellations take effect at the end of your current billing period. You will retain access to premium features until that date.
Exception: Notwithstanding the foregoing, no refunds, credits, or reimbursements of any kind shall be issued where your access has been throttled, restricted, suspended, or terminated due to a violation of Section 5 (Acceptable Use) or Section 6 (Enforcement & Remedies) of these Terms.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to reverse-engineer, scrape, or extract data from the Service through automated means
- Circumvent rate limits, security measures, or access controls
- Share, redistribute, or resell training content, company prep reports, or AI-generated outputs
- Impersonate another person or misrepresent your affiliation
- Upload malicious code or interfere with the operation of the Service
- Use the AI coaching features to generate harmful, abusive, or fraudulent content
6. Enforcement & Remedies
Board Room reserves the right, at its sole and absolute discretion, to throttle, restrict, suspend, or terminate your access to the Service, in whole or in part, without prior notice if Board Room reasonably believes that you are violating the letter or spirit of these Terms. This includes, but is not limited to:
- Redistribution: Sharing, forwarding, redistributing, or making available any company prep reports, company research, AI-generated content, training materials, or other Service outputs to any individual or entity other than the individual account holder. Each subscription is an individual license for the subscriber's personal professional use only. Redistribution to colleagues, team members, or third parties without a valid team license constitutes a material breach of these Terms.
- System abuse: Engaging in patterns of usage that suggest automated access, systematic data extraction, bulk downloading, scraping, or any use that places an unreasonable burden on the Service infrastructure or that is inconsistent with normal individual use.
- Credential sharing: Allowing any person other than the account holder to access the Service using the account holder's credentials.
- Circumvention: Attempting to bypass, disable, or circumvent rate limits, usage caps, access controls, paywalls, or any other technical or contractual restrictions of the Service.
- Bad faith use: Any conduct that Board Room determines, in its sole discretion, undermines the integrity of the Service, harms other users, or is contrary to the intended purpose of the platform.
Refund forfeiture: If your access is throttled, restricted, suspended, or terminated pursuant to this Section 6, you forfeit all rights to any refund, credit, or reimbursement, including any unused portion of a prepaid subscription period. No prorated or partial refunds shall be issued under any circumstances where enforcement action has been taken due to a violation of these Terms.
No obligation to provide notice: While Board Room will make reasonable efforts to notify you of enforcement actions, Board Room is under no obligation to provide advance notice, a warning, or an opportunity to cure before taking any action under this Section, particularly in cases of egregious or ongoing violations.
Determination is final: Board Room's determination that a violation has occurred, including whether conduct violates the spirit of these Terms, shall be final and binding. You agree not to dispute or contest such determination except through the dispute resolution process outlined in Section 16.
7. Intellectual Property
All training content, curriculum, lesson materials, UI design, and branding created by Board Room, BRDRM.AI, or Christopher Schaum are owned by Board Room or its applicable affiliates and protected by copyright. You may not copy, modify, distribute, or create derivative works from our content without written permission.
Third-party content: Board Room does not claim ownership of any third-party intellectual property, including third-party videos, interviews, lectures, clips, articles, books, frameworks, images, trademarks, logos, or other materials that were not created by Board Room, BRDRM.AI, or Christopher Schaum. Any third-party videos or materials embedded, linked, referenced, summarized, or otherwise made available through the Service remain the property of their respective creators, authors, publishers, platforms, copyright holders, trademark owners, or other rights holders. Nothing in these Terms transfers ownership of third-party content to Board Room or gives Board Room any rights beyond the rights, permissions, licenses, or platform functionality under which such content is made available.
Your data: You retain ownership of the content you input into the Service (such as meeting notes and coaching conversation text). However, by using the Service, you grant Board Room a worldwide, perpetual, irrevocable, royalty-free, fully sublicensable license to use, reproduce, modify, analyze, aggregate, anonymize, and create derivative works from your usage data and any data generated through your use of the Service. This license allows us to operate and improve the Service, develop new features, create aggregated benchmarks and analytics products, and otherwise use such data for any lawful business purpose, as further described in our Privacy Policy.
8. Data License & Usage Rights
You acknowledge and agree that:
- Board Room may monitor, record, and analyze all usage of the Service, including learning activity, feature interactions, performance metrics, and behavioral data.
- Board Room may use aggregated and anonymized data derived from your use of the Service for any purpose, including creating and selling data products, publishing industry reports, licensing analytics to third parties, and improving AI models.
- Aggregated and anonymized data that does not personally identify you is not subject to the data ownership provisions above and may be retained and used indefinitely.
- Board Room owns all aggregated data, analytics, benchmarks, insights, and derivative works created from platform usage data.
9. AI-Generated Content
The Service uses artificial intelligence (Anthropic's Claude) to power coaching conversations, practice questions, and company research. You acknowledge that:
- AI-generated content is provided for educational and informational purposes only.
- AI outputs may contain inaccuracies. You should verify important information independently.
- AI coaching does not constitute professional financial, legal, or investment advice.
- Company financial data is sourced from SEC filings and third-party APIs, but we do not guarantee its accuracy or timeliness.
10. Company Data & Financial Information
Board Room provides financial data for educational purposes. This data is sourced from public SEC filings, earnings reports, and licensed financial APIs. This information is not investment advice. Do not make investment decisions based on data presented in the Service.
11. Third-Party Video Content
The Service may display or embed video content from third-party platforms, including but not limited to YouTube, via embedded players (such as YouTube's iframe embed API). You acknowledge and agree that:
- No ownership claim: BRDRM.AI, ChrisSchaum.com, Christopher Schaum, Board Room, and any of their affiliated entities, officers, employees, agents, or successors (collectively, the "BRDRM Parties") do not claim any ownership, copyright, or intellectual property rights over any third-party video content displayed, embedded, or accessible through the Service.
- Third-party terms apply: All third-party video content remains the sole property of its respective creators, copyright holders, and the hosting platform. Your viewing and interaction with embedded YouTube videos is governed by YouTube's Terms of Service, Google Privacy Policy, and any other applicable terms and policies of Google LLC and its affiliates.
- User responsibility: You access and view all embedded third-party video content at your own discretion and are solely responsible for your compliance with the terms, conditions, and policies of the third-party platform (including YouTube/Google). The BRDRM Parties are not a party to and assume no liability under any agreement between you and any third-party content platform.
- No endorsement or guarantee: The inclusion or embedding of any third-party video content within the Service does not constitute an endorsement, sponsorship, or recommendation by the BRDRM Parties of the content, the content creator, or the hosting platform. The BRDRM Parties make no representations or warranties regarding the accuracy, completeness, legality, reliability, or suitability of any third-party video content.
- No liability: The BRDRM Parties shall not be liable for any claims, damages, losses, or disputes arising from your viewing, interaction with, or reliance on any third-party video content, including but not limited to copyright infringement claims, content takedowns, privacy issues, or changes in content availability.
- Content availability: Third-party video content may be removed, restricted, or modified by the content creator or hosting platform at any time without notice. The BRDRM Parties have no control over and accept no responsibility for the continued availability of any embedded video content.
12. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:
- The Service will be uninterrupted, error-free, or secure
- Training content will achieve specific business or sales outcomes
- Financial data or AI-generated content will be accurate or current
13. Limitation of Liability
To the maximum extent permitted by law, Board Room and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of revenue, data, or business opportunities.
Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
14. Indemnification
You agree to indemnify and hold harmless Board Room from any claims, losses, or damages (including legal fees) arising from your violation of these Terms or misuse of the Service.
15. Termination
- By you: You may delete your account at any time by contacting us. Active subscriptions will remain in effect until the end of the billing period.
- By us: We may throttle, restrict, suspend, or terminate your access if we reasonably believe you have violated the letter or spirit of these Terms, with or without notice. In cases of egregious violations, enforcement action may be immediate and without warning. Board Room may, at its sole discretion, implement graduated enforcement (such as throttling or restricting access) or proceed directly to suspension or termination.
- No refunds upon termination for cause: If your account is terminated or suspended due to a violation of these Terms, you shall not be entitled to any refund, credit, or reimbursement of fees paid, including any unused portion of a prepaid subscription. This applies regardless of when the violation occurred during the billing cycle.
- Survival: Sections 6 (Enforcement & Remedies), 7 (Intellectual Property), 8 (Data License), 12 (Disclaimer), 13 (Limitation of Liability), 14 (Indemnification), and this Section 15 shall survive any termination of these Terms.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms shall be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration.
17. Changes to These Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes are posted constitutes acceptance.
